Terms and Conditions

1. Introduction

1.1 Tesel Ltd. (“Tesel”, “we”, “us”) provides the Tesel platform (“Platform”). By using it, you (“you”, “User”) agree to these Terms.

2. Privacy & Data

2.1 We process personal data only to operate, secure, support, and improve the Platform, in compliance with UK GDPR. Where hosting occurs outside the UK/EU, appropriate safeguards (e.g., SCCs/UK IDTA) will apply.

2.2 Roles. If you access via an organisation (e.g., employer/department), that organisation is typically the data controller and Tesel acts as processor; otherwise Tesel is the controller for your account. A Data Processing Agreement is available on request.

2.3 Security & transfers. We implement technical and organisational measures (encryption in transit/at rest, access controls, audit). We do not sell personal data or use it for unrelated marketing.

2.4 Sub-processors. We may use vetted service providers to deliver the Platform. We remain responsible for their performance.

2.5 Cookies may be used for authentication/session security. Passwords are stored using industry-standard hashing.

3. Licence & Acceptable Use

3.1 Licence. Tesel grants you a limited, revocable, non-exclusive, non-transferable licence to access and use the Platform for lawful purposes and in accordance with these Terms.

3.2 Prohibited actions. You must not: (a) misuse or disrupt the Platform; (b) access others’ data without permission; (c) copy, decompile, reverse engineer, frame, scrape, or create derivative works from the Platform; (d) circumvent technical protections; (e) benchmark or publish performance tests without consent.

3.3 Internal use only / No sublicensing. The licence is for internal use only and may not be sublicensed, assigned, or shared with third parties. No rights are granted by implication or otherwise except as expressly set out in these Terms.

4. Intellectual Property (Historical, Current, Future)

4.1 Ownership. Tesel retains all right, title, and interest in and to the Platform and all Tesel IP—whether existing prior to these Terms (“Background IP”), created now or hereafter (“Foreground IP”), or developed as improvements, updates, modifications, configurations, or derivative works (“Improvements”).

4.2 Scope. “Tesel IP” includes software, source/object code, algorithms, models, data schemas, database structures, APIs, UI/UX designs, documentation, specifications, workflows, and know-how, in all forms and media, with all intellectual property rights therein, worldwide.

4.3 No assignment or joint ownership. No Tesel IP is assigned, transferred, or jointly owned by you or any organisation, at any time. There is no work-for-hire, commissioned work, or partnership/joint-venture IP. All Tesel IP—Background, Foreground, and Improvements—remains Tesel’s exclusive property.

4.4 Organisational Non-Claim. Access via any organisation, and any funding, specification, testing, feedback, configuration, or custom development requests from any user or organisation, do not grant, transfer, create, or imply any ownership, authorship, co-authorship, joint ownership, or other intellectual property rights in the Platform or Tesel IP. To the fullest extent permitted by law, users and organisations irrevocably disclaim and waive any present or future claim to Tesel IP.

4.5 Automatic vesting of IP. Any rights that might arise by operation of law in relation to Tesel IP automatically vest in Tesel immediately upon creation without further action.

4.6 Feedback. You assign to Tesel all rights in suggestions/feedback and agree Tesel may use them without restriction or attribution.

4.7 Specs/config. Policies, requirements, or configuration provided by you/your organisation do not create any rights in Tesel IP. Configuration to your requirements does not affect Tesel’s ownership.

4.8 Equitable relief. Unauthorised use or disclosure of Tesel IP may cause irreparable harm; Tesel may seek injunctive or equitable relief in addition to other remedies.

5. Confidentiality

5.1 Each party will keep the other’s non-public information confidential and use it only for providing/receiving the Platform, subject to legal obligations.

6. User Data (Ownership, Export, Deletion)

6.1 Ownership. Users/organisations retain ownership of the data they provide.

6.2 Licence to process. You grant Tesel a non-exclusive, worldwide, royalty-free licence to host, store, process, and display your data solely to provide, secure, support, and improve the Platform.

6.3 Export & deletion. On request or termination, we will make reasonable efforts to enable data export and, thereafter, delete or archive data per our retention policies and legal requirements.

7. Availability, Warranties, Liability

7.1 The Platform is provided “as is” and “as available”. To the maximum extent permitted by law, Tesel disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

7.2 Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or other liability that cannot be excluded under applicable law.

7.3 To the maximum extent permitted by law, Tesel is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, data, goodwill, or business interruption. Tesel’s aggregate liability under these Terms shall not exceed the greater of £100 or the fees paid by you to Tesel in the 12 months preceding the event giving rise to the claim.

7.4 You remain responsible for decisions and outcomes based on Platform outputs.

8. Fees, Suspension, Termination

8.1 Access may be free or subject to subscription or organisational agreement.

8.2 Tesel may suspend or terminate access for breach, security risk, non-payment, legal requirement, or at our discretion with reasonable notice where practicable.

8.3 Effect of termination. Your right to access the Platform ends. Sections intended to survive (including 2–6, 7.2–7.4, 9–12) continue to apply.

8.4 Post-Termination. Upon termination, Users shall cease all access and use of the Platform and delete any Tesel confidential information and non-public materials in their possession or control, except as required by law. This does not affect Users’ rights to export their own data per Section 6.3.

9. Updates to Terms

9.1 Tesel may update these Terms. We will notify Users (e.g., banner, email, or in-app notice). Continued use after the effective date constitutes acceptance. We may require re-acceptance for material changes.

10. Third-Party Services & Open Source

10.1 The Platform may depend on third-party services or open-source components under their own terms. Acknowledgements are available on request.

11. Governing Law & Dispute Resolution

11.1 These Terms are governed by the laws of Northern Ireland. The courts of Northern Ireland shall have exclusive jurisdiction. The parties will first seek to resolve disputes by good-faith negotiation or mediation where suitable.

12. Miscellaneous

12.1 Severability: If any provision is invalid, the remainder remains in effect.

12.2 Assignment: You may not assign these Terms without Tesel’s consent. Tesel may assign freely.

12.3 No waiver: A failure to enforce is not a waiver.

12.4 Force majeure: Neither party is liable for delays/failures due to events beyond reasonable control.

12.5 Entire Agreement: These Terms are the entire agreement regarding the Platform.

By using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

We sync every resource you need onto one platform. We leverage your community with AI to gamify how you learn, so you can be sure you’re learning smarter and faster, and getting so much closer to that deserved pass.

You can use it for your own notes for free, yes. You can also access a set amount of tiles from your peers per day for free.

You can upgrade If you want access to your peers’ content beyond a daily sample and if you want unlimited access to AI. You can also keep your own notes completely private while upgraded.

A tile is the building block of Tesel (ˈtes.əl). In building our community wiki, everybody is creating the mosaic pattern (tessellation) within their subject field. Each bit of knowledge can be distilled into these individual tiles. Just pick a topic, and if it’s not already on our platform, write a tile. We’ll do the rest in helping you navigate them and track your learning.

We’re a wiki for absolutely anything, from the History of Art to Zoological studies. If your subject isn’t available, you can create it and start publishing content.
